Title:Prevzemi in združitve v bančnem sektorju: primer prevzema credit suisse s strani ubs

Abstract:Diplomsko delo obravnava prevzem banke Credit Suisse s strani skupine UBS ter njegove finančne in regulativne posledice. Namen raziskave je analizirati dejavnike, ki so privedli do krize Credit Suisse, predstaviti proces prevzema ter oceniti njegov vpliv na finančno uspešnost in stabilnost skupine UBS. Analiza kaže, da kriza Credit Suisse ni bila posledica posameznega dogodka, temveč kombinacije strateških in organizacijskih pomanjkljivosti, neustreznega upravljanja tveganj ter postopne izgube zaupanja vlagateljev in komitentov, ki je privedla do obsežnih odlivov depozitov in likvidnostne krize. V empiričnem delu je izvedena primerjalna analiza izbranih finančnih kazalnikov Credit Suisse pred prevzemom ter UBS pred in po prevzemu. Rezultati kažejo, da je UBS po prevzemu ohranila pozitivno donosnost ter močan kapitalski in likvidnostni položaj, medtem ko se stroškovna učinkovitost po začetnem poslabšanju postopno izboljšuje. Pri presoji donosnosti je treba upoštevati pomemben vpliv enkratnega računovodskega učinka negativnega dobrega imena v letu 2023. Na podlagi rezultatov ugotavljamo, da je prevzem preprečil neurejen propad Credit Suisse in prispeval k stabilizaciji finančnega sistema. Ker proces integracije še ni v celoti zaključen, dolgoročnih finančnih učinkov prevzema še ni mogoče dokončno oceniti. Primer Credit Suisse hkrati poudarja pomen učinkovitega upravljanja tveganj, kriznega upravljanja ter ohranjanja zaupanja vlagateljev in komitentov.

Title:Mergers and acquisitions in the banking sector: a case study of the ubs takeover of credit suisse
Abstract:This bachelor’s thesis examines the acquisition of Credit Suisse by UBS Group and its financial and regulatory implications. The purpose of the research is to analyse the factors that led to the Credit Suisse crisis, present the acquisition process and assess its impact on the financial performance and stability of UBS Group. The analysis shows that the Credit Suisse crisis resulted from a combination of strategic and organisational weaknesses, inadequate risk management and a gradual loss of investor and client confidence, which ultimately led to substantial deposit outflows and a liquidity crisis. The empirical part provides a comparative analysis of selected financial indicators of Credit Suisse before the acquisition and UBS before and after the acquisition. The results show that UBS maintained positive profitability and a strong capital and liquidity position following the acquisition, while cost efficiency has gradually improved after an initial deterioration. When assessing profitability, the significant impact of the one-off negative goodwill recognised in 2023 must be taken into account. The results indicate that the acquisition prevented a disorderly failure of Credit Suisse and contributed to the stabilisation of the financial system. However, as the integration process has not yet been fully completed, its long-term financial effects cannot yet be conclusively assessed. The Credit Suisse case also highlights the importance of effective risk and crisis management and maintaining investor and client confidence.
