Title:PRENOS LASTNIŠTVA DRUŽINSKEGA PODJETJA V TRETJI GENERACIJI

Abstract:Družinska podjetja so specifična oblika podjetij, katerih posebnost je sodelovanje družinskih članov v podjetju. V takih podjetjih predstavljajo vodstvo člani družine, ki si med seboj zaupajo in so medsebojno zelo povezani. To je le nekaj značilnosti, po katerih se družinska podjetja ločijo od ostalih podjetij. Prav tako kot ostala podjetja se tudi družinska srečujejo z nasledstvom in prenosom podjetja na naslednje generacije. Ta prehod je veliko lažji, če se vnaprej načrtuje. Podjetniki imajo na voljo več možnosti, med katerimi se lahko odločijo glede prihodnosti podjetja. Izbrati morajo tisto, ki v največji meri izpolnjuje njihova pričakovanja glede podjetja v prihodnosti. Slovenija je dokaj mlada država, zato veliko podjetij še vedno deluje v prvi generaciji, precej pa se jih srečuje s prehodom podjetij iz prve v drugo generacijo. Prehod v tretjo generacijo jih čaka v prihodnosti. Če je nasledstvo dobro načrtovano in so nasledniki dobro pripravljeni na prevzem podjetja, ni strahu, da bi bil prehod v tretjo generacijo neuspešen. S pomočjo družinskega podjetja Vipoll smo v diplomskem projektu predstavili posebnosti družinskih podjetij in prikazali prenos lastništva iz generacije v generacijo. V prvem delu diplomskega projekta smo teoretično preučili družinsko podjetje in lastništvo, v drugem delu pa smo na primeru podjetja Vipoll predstavili prenos podjetja iz prve generacije v drugo ter predlagali možne načine prehoda pri prenosu lastništva iz druge generacija v tretjo.

Title:TRANSFERRING A FAMILY BUSINESS TO THE THIRD GENERATION
Abstract:Family businesses are very specific forms of companies the special feature of which lies is in close cooperation of family members working in the same company. Such companies are lead by family members, who trust each other completely and are highly interconnected. These are only a few of the many specific characteristics that distinguish family businesses from all the other existing forms of companies. Just like any other company, these companies must deal with the question of succession and passing the company to the next generation as well. This transition is done much easier if planned in advance. When it comes to making a decision regarding the future of a company the entrepreneurs have different options to choose from. They should go for the one that fulfils most of their expectations in this matter. Slovenia is quite a young country; therefore many companies are still run by the first generation, some, however, already entered the transition phase from the first to second generation. For them passing the torch to the third generation still lies ahead. If the succession is carefully planned and the successors are well prepared for the take- over, the legacy transfer to the third generation cannot go wrong. For the purpose of this diploma project we worked side by side with the Vipoll family business and together laid out the specific characteristics of family businesses and presented the transfer of ownership from one generation to another. In the first part of this thesis we studied the involved family business and its ownership in theory and then in the second part of the thesis we used the same company as an example to practically present the transfer of ownership from the first to second generation. We also made some suggestions on potential second to third generation ownership transfers.
